SEKISUI KASEI Group has established a "Compliance Policy" to define how corporate personnel should act, aiming to strengthen and promote compliance. To this end, we have set up a "Compliance and Risk Management Committee." This ensures a system for adhering to laws and regulations, and we have also established an internal reporting system called the "SKG Clean Network," striving to build a fair and dynamic organization.

    Our group acts legitimately and appropriately based on common sense and contributes to the society through providing safe and quality products and services.

    1. 1-1 Regarding business activities, we comply with various laws and regulations such as Antitrust Law for fair and free competitions between companies as well as Subcontract Proceeds Act and Construction Industry Law.
    2. 1-2 We understand laws related to product safety and safety standards to provide safe and quality products and services.
    3. 1-3 We appropriately handle taxation and accounting work in accordance with the relevant laws, regulations and standards.
    4. 1-4 We comply with import and export-related laws and regulations as well as local ones for trading with overseas countries.

Compliance Promotion System

SEKISUI KASEI Group defines "compliance" as not only adhering to laws and regulations but also ensuring the appropriateness of operations by complying with various rules within the group. This includes acting with integrity based on the values, ethics, and corporate ethics expected of responsible members of society.
To promote the prevention of compliance issues, we have established a Compliance and Risk Management Committee. In the event of a suspected serious compliance violation that requires consideration from a company-wide perspective, an Emergency Response Headquarters will be set up based on the "Emergency Response Measures Guidelines," with the President or a person designated by the President as the head. This headquarters will conduct thorough investigations and responses, obtaining advice from external experts, as necessary. If a compliance violation is confirmed, appropriate actions such as disciplinary measures and public disclosure will be taken.
For the fiscal year 2023, there were no significant compliance violations.

Guidelines for the Prevention of Corruption and Bribery

SEKISUI KASEI Group has established "Anti-Bribery Regulations" as part of its internal rules. We do not engage in any form of corruption, including money laundering and obstruction of justice, nor do we offer or accept bribes to or from public officials, their equivalents, or business partners (employees of private companies).

Status of Efforts to Prevent Corruption and Bribery

Based on the above guidelines, SEKISUI KASEI Group identifies cases with high risks of corruption and bribery. When providing entertainment or improper gifts and other conveniences that exceed certain standards (amount and frequency) to public officials, their equivalents, or business partners (employees of private companies), or when engaging agents or consultants, a designated pre-approval form must be submitted to and approved by the manager. This process ensures that there is no risk of bribery and that there are reasonable grounds to avoid suspicion of bribery.
Additionally, various compliance training sessions address the risks of corruption and bribery, fostering awareness of anti-corruption and anti-bribery. The necessity of avoiding these risks is also documented in the Compliance Policy, Compliance Manual, and handbooks for overseas companies, which are distributed or posted on the internal intranet to ensure all employees are aware of the anti-bribery policies.
As a result, over the past five years up to the fiscal year 2023, there have been zero executives or employees in our group who committed significant violations related to corruption or bribery. No cases of disciplinary action or prosecution (including payment of fines or penalties) have been confirmed.
